1. Duties and Authorities regarding Business Planning

- Cooperating with the direct supervisor (s) for Establishment of the strategies for Legal Affairs, in long-term (5 to 10 years), mid-term (3 years) and short-term (only next one year). The short-term strategies must be specified in details in quarterly and monthly activities based on the analysis of situations in societies of either global or local.

- Grabbing, collecting either objective and subjective situations and any information from varieties of sources in terms of legal/legislation.

- Cooperating with the direct supervisor (s) for Analyzing any situations and risks of results and focusing future of LEGAL activities in scientific way, to reason for directing and correcting strategies of LEGAL from time to time.

- Drafting, inspecting, checking and appropriately amending any documents, web, e-mails etc., which will be disclosed to outside, in terms of laws, regulations and optics of societies, and then sending out.

- Cooperating with the direct supervisor (s) for Proposing, officializing, implementing and executing LEGAL-related policies, regulations and operating systems by analysis of risks, forecasts etc., except any activities relating to marketing, promotions of any sales.

- Becoming the primary contact and department in charge regarding any activities from law firms, authorities for legal affairs, as well as the Legal Affairs Department of AEON CO., LTD. and any Legal Affair related entities.

- Any other matters ordered from the supervisor and/or company from time to time.

2. Duties and Authority of Execution

- Consultations and Supervisions;

> Legal research;

> Legal update;

- Research, analyze, summarize and update new legislations which might affect to company’s business;

- Check, follow, analyze, foreseen and evaluate bills which possibly broadly impact or affect to company’s health and business policy.

> Compliance Manual;

- Design, check and update the relating laws and regulations, draft the contents, and arrange to print and distribute the Corporate’s Compliance Manual which is being updated every 3 years;

> Compliance Training;

- Propose the training topics, prepare the training contents and material, conduct the training every year;

> Review internal policies and procedures;

- Advise the Management on legal implications relating to internal policies and procedures;

> Legal consultancy;

- Check the relating laws and regulations, provide legal opinion/advice on any matters of the Corporate’s business activities;

> Contract and external document review;

- Draft, review, organize, and monitor a wide range of contracts, agreements, arrangements, legal documents, and ensure that they are in compliance with all legal requirements;

- Build, follow and improve the contract form system for Company;

- Attend the meeting with partners/vendors/suppliers to deal about legal aspects for all contracts, agreements etc.

> Legal matter settlement;

- Manage the legal issues and risks of the Corporate to ensure that where legal risks have been identified, appropriate actions have been taken;

> Authorization system establishment;

- Prepare authorization letters based on functions, duties and company’s policy, and arrange them in a systematic way.

>Any other activities or matters ordered from the supervisor and/or company from time to time.

- Disputes;

> Litigation;

- Monitor and follow-up claims, disputes from customers and business partners at any court or arbitration;

> Any other activities or matters ordered from the supervisor and/or company from time to time.

- Licensing and IPs;

> Licensing;

- Monitor application dossiers and liaise with relevant Authorities for the business licenses of the Corporate;

- conducting, coordinating and supporting any governments (and/or authorities) relations of Vietnam relating to Licensing;

> IPs:

- Directing, administrating, inspecting and making comments on usage of, or newly designing of all marks (Trademarks of either registered or un-registered), sounds, colors and presences evoking corporate images;

- Inspecting, consulting and administrating Intellectual Properties such as Trademarks.

> Any other activities or matters ordered from the supervisor and/or company from time to time.

- Supporting Business Development;

- Licensing: Monitor application dossiers and liaise with relevant Authorities for the business licenses of the new projects.

- Any other activities

Yêu cầu công việc

Job Requirements:

- University degree of Laws.

- Minimum 03 years of practical experience in professional Legal environment

- Experience in retail fields shall be preferred.

- Lawyer certificate (Recommendable, but not required).

Knowledge, Skills & Behaviors:

- Very fluent in English

- Strong knowledge of presentation skills and choosing appropriate words as both verbal and writing skills

- Strong communication skill (both verbal and written)

- Strong negotiation skills for external affairs including authorities and governments

- Basic risk and crisis management skills

- Computer literate: Word, Excel, PowerPoint, Outlook and Internet and computer graphics and designing

- Details oriented and being able to handle multi-tasks.

- Good problem solving skill.

- Excellent organizing and time management skills.
